VALUING TECHNOLOGY COMPANIES:
A GUIDE FOR BUYERS AND SELLERS

Valuing a technology company is as much art as it is science, yet critically important for correctly negotiating investment or M&A transactions, options prices, charitable giving or, in the worst of all situations, divorce settlements.

This bootcamp features a panel of "been-there-and done-that" experts who will explain how to understand your company's value drivers and determine its value. The goal is to give you an overview of the rationale and tools you'll need to estimate your company's value.

Specifically, the bootcamp will help you figure out:

  • Why technology companies may have multiple values
  • The difference between economic and compliance values.
  • The difference between controlling and minority ownership values
  • The appropriate valuation methods
  • The 23 attributes that increase the value of a technology company
  • What characteristics make a company most salable
  • What you should be managing to negotiate a better deal

The bootcamp's audience includes CEOs, COOs, CFOs and all stockholders who have a vested interest in the value of a technology company.

Speaker Bios:

Leonard N. Hecht, President of Chrysalis Capital Group
Chrysalis Capital Group, an investment banking company specializing in mergers and acquisitions and financings which Mr. Hecht formed in January of 1994. From 1987 to 1993, Mr. Hecht was a Managing Director of the Investment Banking Group and head of the Technology Assessment Group of Houlihan Lokey Howard & Zukin, a financial advisory firm. From 1984 to 1987, Mr. Hecht was the Vice Chairman of the Board and Chief Executive Officer of Quantech Electronics Corp., a diversified publicly held electronics company. Prior to joining Quantech, Mr. Hecht was a founding principal of Xerox Development Corporation, a wholly owned subsidiary of the Xerox Corporation. Xerox Development Corporation was active in strategic planning, mergers and acquisitions, divestitures, licensing, joint ventures and venture investing for the Xerox Corporation. Mr. Hecht has served on the board of directors of many public and private companies.

Eric Klein Partner of Katten Muchin Rosenman LLP
Eric has extensive experience with issues confronting newly formed and emerging companies. He has represented numerous founders, venture capital investors and start-up companies in a wide range of industries including technology, biotechnology, health care, entertainment, retail and financial services. Mr. Klein has worked closely with management and investors to structure and form companies, negotiate compensation arrangements, raise capital through public and private securities offerings, enter into corporate partnering and distribution arrangements, and undertake mergers, acquisitions and public offerings. Mr. Klein's practice also includes intellectual property matters, international transactions, securities law, and general corporate law. Prior to joining Katten Muchin Rosenman, Mr. Klein was a founding partner in the Los Angeles firm of Klein & Martin LLP, which merged with Shaw Pittman in 2001.

Mr. Klein received his A.B. from Princeton University in 1981 and earned his J.D. from Boston University School of Law in 1985. He is admitted to practice in California and before the U.S. District Court, Northern District of California. Mr. Klein is a member of the UCLA Anderson School of Business Ventures Program, Board of Advisors; the Los Angeles Ventures Association; and the American Bar Association Section of Intellectual Property Law, International Technology Transfer Committee.

Terence Tchen, Managing Director of Houlihan Lokey Howard & Zukin

Mr. Tchen is a Managing Director in Houlihan Lokey's Los Angeles office and National Director of the firm's Capital Adequacy practice. He has been involved in business, securities and intangible asset valuations for the past 14 years. Mr. Tchen manages client projects for business valuations, mergers and acquisitions, ESOPS, financings, leveraged buyouts, mergers and acquisitions, financial reporting purposes, estate and gift tax purposes, financial restructurings, recapitalizations, and litigation support. In these projects, Mr. Tchen analyzes and values closely held and publicly traded businesses, securities, derivative securities, intangible assets, and contingent liabilities. Among the intangible assets Mr. Tchen has valued are patents, tradenames and trademarks, in-process research and development, technology, magazine titles, covenants not to compete, and customer lists. Mr. Tchen is a co-director of Houlihan Lokey's Technology Group and a member of the firm's Technical Standards Committee. Mr. Tchen has authored a chapter on the valuation of stock options for the 1993/1994 update to Financial Valuation: Businesses and Business Interests.

Prior to joining Houlihan Lokey, Mr. Tchen was a systems programmer for the IBM Corporation. Mr. Tchen earned a B.S. in mathematics and computer science from the University of Illinois, Champaign-Urbana, and an M.B.A. from the University of California,Berkeley. Mr. Tchen is licensed with the SEC through the NASD as a General Securities Registered Representative (Series 7) and a Registered Investment Advisor (Series 2).


James Rigby, Managing Director of Financial Valuation Group (FVG) and President of Financial Valuation Group of California, Inc.
FVG is a financial consulting firm specializing in business and intellectual property valuations, litigation and consulting. FVG is a founding member of the Financial Consulting Group, a national association of professional service firms dedicated to excellence in valuation, litigation and financial consulting.

Mr. Rigby has over 25 years of professional experience, including valuation related services and financial consulting. He has provided expert testimony related to valuations and consulting services related to international expansions, mergers & acquisitions, intellectual property and strategic planning. He is bilingual, utilizing his English and Spanish throughout the American continents.

Mr. Rigby has served on various business valuation/litigation committees of the American Institute of Certified Public Accountants, the American Society of Appraisers, and other professional associations. He is the co-author of multiple continuing education courses and articles published in a variety of professional journals. Mr. Rigby has a Bachelor of Science degree in Business Administration from Bryan College and a Masters of Business Administration degree from Woodbury University. He holds the AICPA's Accreditation in Business Valuation (ABV) and also is an Accredited Senior Appraiser (ASA) with the American Society of Appraisers.
